1. IntroductionThese Terms and Conditions (“Terms”) govern the relationship between you (“you”,“your”, “student”, “client”, “user”) and Entrepot Training Institute (“ETI”, “we”, “us”,“our”), a training and professional education institute operating under the EntrepotGroup, with operations in the United Arab Emirates (Entrepot Training Institute L.L.C.,Dubai) and India (Entrepot Training Institute Pvt. Ltd., Mumbai).By visiting our website, submitting an enquiry, registering for a course, attendingclassroom or online training, participating in a webinar or workshop, applying for aninternship, purchasing any training programme or service, or otherwise interacting withETI through any digital or physical channel, you agree to be bound by these Terms. Ifyou do not agree with these Terms, please do not use our services.These Terms should be read together with our Privacy Policy, which explains how wecollect, use, store, and protect your personal information.

Entrepot Training InstituteEstablished in 2011, Entrepot Training Institute is a premier training centre under theEntrepot Group, delivering high-quality professional training and skill developmentprogrammes aligned with global standards. ETI is the education arm of the EntrepotGroup, which also comprises Entrepot Cargo Services L.L.C., Entrepot Training InstitutePvt. Ltd., Entrepot Cargo Pvt. Ltd., Trip Planners' World India (P), and EduPlanners.ETI offers industry-focused programmes across Supply Chain, Logistics and FreightForwarding, Information Technology, Finance, Aviation, Airports and Travel, HumanResources, Management, Personality Development, and Foreign Languages, blendingacademic strength with decades of real-world experience in logistics and aviation.ETI is licensed under the Government of Dubai (Department of Economic Development)for Professional and Management Development Training, Computer Training, andTechnical and Occupational Skills Training, and holds an Educational Services Permitissued by the Knowledge & Human Development Authority (KHDA). ETI is also aCertified Partner of the National Education Foundation (NEF, USA) in collaboration withPotsdam State University of New York, a CPD (Continuing Professional Development,UK) Member, an Accredited Programme Partner of the International Federation ofPurchasing & Supply Management (IFPSM), and an Accredited Learning Partner of TheChartered Institute of Logistics and Transport (CILT, UK).
3. Eligibility:
Our programmes are generally intended for individuals aged 18 years and above.Where a minor is permitted to enrol in an eligible programme, enrolment andparticipation are subject to the prior written consent of a parent or legal guardian, whoshall be responsible for ensuring compliance with these Terms on the minor's behalf.By enrolling in any programme, you confirm that the information you provide to us istrue, accurate, complete, and current, and that you have the legal capacity to enterinto a binding agreement with ETI.
4. Enrolment and Registration:
Enrolment is confirmed only upon receipt of a duly completed registration/applicationform, submission of required documents, and payment of the applicable course fee (oran agreed instalment/deposit), as applicable to the specific programme.ETI reserves the right to accept or decline any application for enrolment at its solediscretion, including where minimum eligibility, prerequisite qualifications, or class
Provide accurate, complete, and up-to-date information at the time of registration andpromptly notify ETI of any changes to contact details.Maintain the confidentiality of any login credentials issued for the student portal, LMS,or online class platform, and not share such credentials with any third party.Attend classes, complete assignments, and undertake assessments and examinationswith integrity, and refrain from any form of plagiarism, impersonation, or academicdishonesty.Use ETI's institutional systems, classrooms, and online platforms responsibly, andbehave in a professional and respectful manner toward trainers, staff, and fellowstudents.Respect the privacy, dignity, and intellectual property rights of fellow students,trainers, and ETI.Comply with the specific rules, attendance requirements, and codes of conductapplicable to the relevant programme, examination body, or accreditation partner.ETI reserves the right to suspend or terminate a student's enrolment, with or withoutrefund as applicable, in the event of a serious breach of these Terms, misconduct,dishonesty, abusive behaviour, or unauthorised use of ETI's systems or materials.
9. Examinations, Assessments and Certification:
Certain programmes require successful completion of assessments, assignments,practical training, or examinations as a condition for the issuance of a certificate ofcompletion or professional certification.Certifications offered through ETI, including those accredited by IFPSM (CPIP, CPIM,CISP, CISM), CILT(UK) (Professional Certificate / Advanced Professional Diploma inSupply Chain), and other accreditation or certifying bodies, are subject to therespective standards, eligibility criteria, and certification rules of those bodies, inaddition to ETI's own internal assessment requirements.ETI does not guarantee a pass result, employment outcome, or salary outcome as aresult of completing a course, examination, or certification. Certification reflectssuccessful completion of the stated assessment criteria only.ETI reserves the right to withhold, revoke, or decline to issue a certificate where astudent has not met attendance, assessment, payment, or conduct requirements, orwhere information provided by the student is found to be false or misleading.Verification of certificates and academic records may be provided to authorised thirdparties (such as employers or accreditation bodies) in accordance with our PrivacyPolicy.
10. Internships and Placement Support:
Where ETI facilitates internship opportunities, industrial visits, or placement support aspart of a programme, such facilitation is provided on a reasonable-efforts basis only.ETI does not guarantee internship placement, employment, or any specific careeroutcome. Internship and placement arrangements with third-party organisations aresubject to the terms set by those organisations, and ETI is not responsible for the acts,omissions, or employment decisions of such third parties.
11. Corporate Training:
ETI provides customised corporate training programmes, including on-site and off-siteworkshops, multi-level skill development, and performance and productivityenhancement programmes for organisations.Corporate training engagements are governed by these Terms together with anyspecific commercial agreement, proposal, or purchase order agreed between ETI andthe corporate client, which shall prevail to the extent of any inconsistency.Corporate clients are responsible for ensuring that participating employees complywith these Terms and any programme-specific rules.Training reports, attendance records, and assessment outcomes may be shared withthe sponsoring corporate client where the programme is employer-sponsored, inaccordance with our Privacy Policy.
12. Intellectual Property:
All course content, training materials, presentations, slide decks, recordings, studyguides, assessments, trademarks, logos (including the Entrepot and Entrepot TrainingInstitute names and marks), and other materials provided by ETI (“ETI Materials”) arethe intellectual property of ETI or its licensors and are protected under applicableintellectual property laws.ETI Materials are provided solely for your personal, non-commercial educational use.You may not copy, reproduce, distribute, publish, transmit, sell, sub-license, orotherwise exploit ETI Materials, in whole or in part, without ETI's prior written consent.Recording, screen-capturing, or redistributing live or recorded online sessions,webinars, or course content without ETI's prior written authorisation is strictlyprohibited.Certifications, badges, logos, and accreditation marks of third-party bodies (includingIFPSM, CILT(UK), CPD, NEF/Potsdam State University of New York, and KHDA) remainthe intellectual property of their respective owners and are used by ETI under theterms of its accreditation or partnership with those bodies.Any feedback, suggestions, or testimonials you provide to ETI may be used by ETI forpromotional and marketing purposes, unless you expressly request otherwise.
13. Website:
UseYou agree to use the ETI website only for lawful purposes and in a manner that doesnot infringe the rights of, or restrict or inhibit the use and enjoyment of the website by,any third party.You must not attempt to gain unauthorised access to any part of the website, studentportal, LMS, or any system or network connected to the website.The website may use cookies and similar tracking technologies as described in ourPrivacy Policy. Continued use of the website constitutes acceptance of such use,subject to your browser settings.The website may contain links to third-party websites, including accreditation bodiesand payment providers. ETI is not responsible for the content, accuracy, or privacypractices of such third-party websites.
14. Privacy:
ETI is committed to protecting your personal information. Our collection, use, storage,disclosure, and protection of personal information are governed by our Privacy Policy,available on our website, which forms part of, and should be read together with, theseTerms. By using our services, you also consent to the practices described in our PrivacyPolicy.
15. Marketing Communications:
Subject to your consent, ETI may send you communications regarding new courselaunches, promotions, newsletters, educational articles, event invitations, alumniactivities, and industry updates. You may opt out or unsubscribe from suchcommunications at any time using the mechanism provided in the relevantcommunication or by contacting us directly.
16. Disclaimers:
ETI provides its training programmes and services on an “as is” and “as available”basis. While ETI uses reasonable skill and care in delivering its programmes, it does notwarrant that course content, materials, or the website will be uninterrupted, error-free,or entirely free of inaccuracies.Course content is provided for educational and professional development purposesonly and does not constitute professional, legal, financial, immigration, or careeradvice. You should seek independent professional advice where appropriate.ETI does not guarantee specific academic results, examination outcomes, certification,employment, career advancement, or salary outcomes as a result of attending anyprogramme.
17. Limitation of Liability:
To the maximum extent permitted by applicable law, ETI, its directors, employees,trainers, and affiliated Entrepot Group entities shall not be liable for any indirect,incidental, special, consequential, or punitive damages, or any loss of profits, revenue,data, goodwill, or business opportunity, arising out of or in connection with your use of,or inability to use, ETI's programmes, website, or services.Where liability cannot be excluded under applicable law, ETI's total aggregate liabilityto you in connection with these Terms or any programme shall not exceed the totalfees paid by you to ETI for the specific programme giving rise to the claim.ETI is not liable for any failure or delay in performance resulting from causes beyond itsreasonable control, including but not limited to acts of God, natural disasters,pandemics, government action, internet or power outages, or third-party platformfailures (force majeure).
18. Indemnity:
You agree to indemnify and hold harmless ETI, its officers, employees, trainers, andaffiliated Entrepot Group entities from and against any claims, losses, liabilities,damages, costs, and expenses (including reasonable legal fees) arising from yourbreach of these Terms, your misuse of ETI Materials or systems, or your violation of anyapplicable law or third-party right.
19. Suspension and Termination:
ETI reserves the right to suspend or terminate your access to any course, the studentportal, LMS, or website, and/or to refuse future enrolment, where you breach theseTerms, engage in misconduct, provide false information, fail to make requiredpayments, or misuse ETI Materials or systems. Termination does not relieve you of anypayment obligations already accrued.
20. Changes to These Terms:
ETI reserves the right to amend, update, or modify these Terms at any time to reflectchanges in its practices, programmes, technology, legal requirements, or businessoperations. Any revised version will be published on our website with an updatedeffective date. Continued use of our website or services after such changes becomeeffective constitutes your acceptance of the revised Terms.
21. Dispute Resolution:
In the event of any dispute, complaint, or disagreement arising out of or in connectionwith these Terms or any programme, you agree to first raise the matter with ETI inwriting so that the parties may attempt to resolve it amicably through good-faithdiscussion.If a dispute cannot be resolved amicably within a reasonable period, either party maypursue the matter through the competent courts or arbitration forum of the relevantjurisdiction, as set out in the Governing Law clause below.
22. Governing Law and Jurisdiction:
For students, clients, and activities relating to ETI's Dubai operations (Entrepot TrainingInstitute L.L.C.), these Terms shall be governed by, and construed in accordance with,the applicable laws of the United Arab Emirates, and the courts of Dubai shall havejurisdiction over any dispute arising therefrom.For students, clients, and activities relating to ETI's India operations (Entrepot TrainingInstitute Pvt. Ltd.), these Terms shall be governed by, and construed in accordancewith, the applicable laws of India, and the courts of Mumbai shall have jurisdiction overany dispute arising therefrom.
23. Severability and Entire Agreement:
If any provision of these Terms is held to be invalid, illegal, or unenforceable by a courtor authority of competent jurisdiction, the remaining provisions shall continue in fullforce and effect. These Terms, together with our Privacy Policy and any specificenrolment or commercial agreement applicable to your programme, constitute theentire agreement between you and ETI in relation to your use of our services,superseding any prior understanding or agreement, whether oral or written.

ETI reserves the right to reschedule, postpone, combine, or cancel a batch or sessiondue to insufficient enrolment, trainer unavailability, force majeure, or other operationalreasons, and will offer an alternative batch date or other reasonable remedy where acancellation is initiated by ETI.
5. Course Access and Delivery:
Courses may be delivered through classroom training, live online/virtual sessions,webinars, workshops, blended formats, or through a student portal/LearningManagement System (LMS), depending on the programme selected.Access to online classes, recorded sessions, course materials, and any student portalor LMS is provided solely for your personal educational use and is non-transferable.You are responsible for ensuring you have suitable internet connectivity, hardware, andsoftware to access online or virtual training; ETI is not responsible for access issuescaused by factors outside its control, including the student's own equipment or internetservice.Sessions delivered online or via webinar may be recorded for educational and qualityassurance purposes, as described in our Privacy Policy. By attending, you consent tosuch recording where applicable.ETI may, at its discretion, provide supplementary materials, recordings, or resources,which remain subject to the intellectual property terms set out in these Terms.
6. Fees, Payments and Invoicing:
Course and programme fees are as quoted at the time of enrolment and are payable inthe currency and manner specified by ETI (Dubai office in AED, Mumbai office in INR,unless otherwise agreed).Payments may be made through the payment methods made available by ETI,including bank transfer or authorised online payment gateways. ETI does not storecomplete credit card or debit card details; payments are processed securely throughauthorised third-party payment gateways.For corporate clients, invoicing, purchase orders, billing details, and applicableVAT/GST will be handled in accordance with the commercial terms agreed between ETIand the corporate client.Continued access to a course, examination, or certification is conditional upon fullpayment of applicable fees, unless otherwise agreed in writing by ETI.ETI reserves the right to revise its course fees from time to time; any such revision willnot affect a student who has already enrolled and paid for a specific batch under thepreviously quoted fee.
7. Cancellations, Rescheduling and Refunds:
Requests to cancel or reschedule an enrolment must be submitted in writing to ETI.Any approved refund or transfer of fees will be subject to ETI's prevailing refund policyapplicable to the specific programme, which will be communicated at the time ofenrolment or upon request.Where ETI cancels, postpones, or materially alters a batch or session for operationalreasons, students will be offered the option of an alternative batch, credit toward afuture programme, or another reasonable remedy at ETI's discretion.Administrative charges, processing fees, or non-refundable deposits, where applicable,will be disclosed to the student or client prior to enrolment.

No refund will ordinarily be made once a course, webinar, or examination hascommenced, except where required by applicable law or expressly agreed by ETI.

17. Limitation of Liability:
To the maximum extent permitted by applicable law, ETI, its directors, employees,trainers, and affiliated Entrepot Group entities shall not be liable for any indirect,incidental, special, consequential, or punitive damages, or any loss of profits, revenue,data, goodwill, or business opportunity, arising out of or in connection with your use of,or inability to use, ETI's programmes, website, or services.Where liability cannot be excluded under applicable law, ETI's total aggregate liabilityto you in connection with these Terms or any programme shall not exceed the totalfees paid by you to ETI for the specific programme giving rise to the claim.ETI is not liable for any failure or delay in performance resulting from causes beyond itsreasonable control, including but not limited to acts of God, natural disasters,pandemics, government action, internet or power outages, or third-party platformfailures (force majeure).
18. Indemnity:
You agree to indemnify and hold harmless ETI, its officers, employees, trainers, andaffiliated Entrepot Group entities from and against any claims, losses, liabilities,damages, costs, and expenses (including reasonable legal fees) arising from yourbreach of these Terms, your misuse of ETI Materials or systems, or your violation of anyapplicable law or third-party right.
19. Suspension and Termination:
ETI reserves the right to suspend or terminate your access to any course, the studentportal, LMS, or website, and/or to refuse future enrolment, where you breach theseTerms, engage in misconduct, provide false information, fail to make requiredpayments, or misuse ETI Materials or systems. Termination does not relieve you of anypayment obligations already accrued.
20. Changes to These Terms:
ETI reserves the right to amend, update, or modify these Terms at any time to reflectchanges in its practices, programmes, technology, legal requirements, or businessoperations. Any revised version will be published on our website with an updatedeffective date. Continued use of our website or services after such changes becomeeffective constitutes your acceptance of the revised Terms.
21. Dispute Resolution:
In the event of any dispute, complaint, or disagreement arising out of or in connectionwith these Terms or any programme, you agree to first raise the matter with ETI inwriting so that the parties may attempt to resolve it amicably through good-faithdiscussion.If a dispute cannot be resolved amicably within a reasonable period, either party maypursue the matter through the competent courts or arbitration forum of the relevantjurisdiction, as set out in the Governing Law clause below.
22. Governing Law and Jurisdiction:
For students, clients, and activities relating to ETI's Dubai operations (Entrepot TrainingInstitute L.L.C.), these Terms shall be governed by, and construed in accordance with,the applicable laws of the United Arab Emirates, and the courts of Dubai shall havejurisdiction over any dispute arising therefrom.For students, clients, and activities relating to ETI's India operations (Entrepot TrainingInstitute Pvt. Ltd.), these Terms shall be governed by, and construed in accordancewith, the applicable laws of India, and the courts of Mumbai shall have jurisdiction overany dispute arising therefrom.
23. Severability and Entire Agreement:
If any provision of these Terms is held to be invalid, illegal, or unenforceable by a courtor authority of competent jurisdiction, the remaining provisions shall continue in fullforce and effect. These Terms, together with our Privacy Policy and any specificenrolment or commercial agreement applicable to your programme, constitute theentire agreement between you and ETI in relation to your use of our services,superseding any prior understanding or agreement, whether oral or written.
